Bill�s practice includes public and private merger, acquisition and disposition transactions, and all types of capital markets transactions representing both issuers and underwriters, including initial public offerings, follow-on public equity, debt and convertible security offerings, 144A offerings and other types of private placements. Bill has particular experience with publicly traded partnerships, including formation, sponsor drop down" transactions, general partner disposition transactions and conflicts committee representation.
REPRESENTATIVE EXPERIENCE
Significant recent transactions on which Bill has worked include:
representation of underwriters in connection with the formation and $300+ million initial public offering of an NYSE-listed issuer (February 2006);
representation of issuer client in connection with formation and $100+ million initial public offering of an NYSE-listed issuer (August 2005);
representation of a Fortune 500 company in connection with the $3 billion merger of a publicly-traded partnership that it controlled with another publicly-traded partnership (September 2004);
representation of a Fortune 100 company in connection with the sale of its general and limited partner interests in a publicly-traded partnership to two private equity funds for $500+ million (June 2003);
representation of issuers, investors and placement agents in connection with PIPE transactions;
representation of issuers and underwriters in numerous primary and secondary follow-on public equity and debt offerings;
representation of public and private acquirors in multiple private acquisition and disposition transactions; and
representation of the conflicts committees of the boards of directors of the general partners of several publicly-traded partnerships in connection with various related-party transactions.
Bill worked on the editorial staff at Vanity Fair Magazine before attending law school at Emory University.
